Governance model
The governance of Madre Holding S.p.A. is based on the traditional model, which includes a General Shareholders’ Meeting, Board of Directors and Board of Statutory Auditors.
The corporate governance system of Madre Holding S.p.A. is essentially oriented toward the pursuit of sustainable success, that is, the creation of long-term value for the benefit of shareholders, taking into account the interests of other stakeholders relevant to the Company.
The audit engagement for fiscal years 2019-2022 was entrusted by the Ordinary Shareholders’ Meeting of the Company on December 16, 2019, to the auditing firm Ernst & Young S.p.A., effective as of July 28, 2020, the date of the Ordinary Shareholders’ Meeting of the Company that approved the financial statements as of December 31, 2019.
